Offeror offers sale of all,or part of his Shares,which is accepted by Offerees.One or more Offerees fail to close timely.All Offerees shall each transfer five percent (5%) of their shares of Stock to Offeror and shall be prevented from further participation as an Offeror under the Agreement.In addition,Offeror shall have the option exercisable for sixty (60) days to purchase all of the Offerees’ Stock (or,if the Offeror’s original offer was to sell a percentage of his Stock less than 100%,to purchase that same percentage of the Shares owned by each Offeree) subject to the terms of this Agreement.If Offeror does not exercise timely his option to purchase all of the Offerees’ Shares,he nevertheless retains all of his rights under this Agreement,including the right as Offeror to initiate future offers.
