5.OBLIGATIONS OF THE SOLE DISTRIBUTOR:
5.1 The Sole Distributor shall during the term of this Agreement:
5.1.1 Diligently protect the Principal’s best interests and act dutifully and in good faith towards the Principal;
5.1.2 Use its best endeavor to promote and market the “WOW” products in India,including undertaking promotional campaigns.and promptly notify the Principal of any information which it receives and which may be relevant to the Principal,relating to the sale and marketing of the Products and which comes to the Agent’s attention;
5.1.3 Advise the Principal with regard to all legislative provisions in force or to be brought into force in the Territory which may affect the marketing,acceptability or sale of the Products in the Territory or which may call for alterations to be made to the products,or their packaging or the instruction for their use,to enable them to be marketed or sold in the Territory;
5.1.4 Promptly transmit to the Principal any observations or complaints made by customers in respect of the Products;
5.1.5 Promptly notify the Principal of any actual,threatened or suspected infringement by the Products of any intellectual Property belonging to any third party or any actual Property in the Products which comes to its notice from time to time and use every effort to safeguard the rights and interest of the Principal,including taking or resisting any proceedings in relation to any such infringement or claim;
5.1.6 At its own cost ensure that any registration,translation,labeling,packaging or notification requirements concerning this Agreement or the Products are complied with in accordance with all applicable laws the laws and the Agent shall promptly provide full details of all actions taken in this respect to the Principal;
5.1.7 Ensure that Customers who purchase Products are aware of any warnings or instructions for use on or in relation to the Products and,where necessary,supply customers with translations of such warnings and literature.
5.1.8 Sales volume each three months,shall be at least _____________containers.
5.1.9 The money should be paid on time without any delay after shipment (the better,within 3 weeks after shipment)
5.1.10 If the annual sales volumes can not reach _____ as to targeted ______ containers,the sole agent will do something to compensate the lwss for the principal;
