Vendor represents and warrants that allmerchandise furnished to Buyer will comply with and be manufactured, priced,sold and labeled in compliance with all applicable international, federal,state and local laws, rules,ordinances, regulations, codes and orders of theUnited States, including without limitation, environmental protection, laborlaws, consumer product safety, agricultural, foodand drug and intellectual property laws, applicable industry codes andstandards. Vendor also represents and warrants that the merchandise being soldto Buyer pursuant to this Purchase Order does
not infringe or otherwise violate anytrademark, copyright, patent or other intellectual property rights of anyperson or entity. Vendor represents and warrants that its operations complywith all applicable laws and regulations of Vendor's country and its politicalsubdivisions. This includes, but is not limited to, employment and labor,environmental protection and intellectual property laws and regulations. Vendorunderstands that failure of Vendor to adhere to such laws and regulations maydamage DT Merchandising's reputation in the marketplace. Vendor agrees thatshould any merchandise furnished hereunder be deemed to violate any provisionof this paragraph, Buyer, at its option; (i) may destroy or return suchmerchandise to Vendor at Vendor's cost, including all shipping and packagingexpenses, for a full refund; and/or (ii) may cancel any outstanding contractsand/or Purchase Orders with Vendor and cease doing business with Vendor ifVendor is unable to correct the situation in a mannersatisfactory to and within a time frame acceptable to Buyer.
