ARTICLE 19:Competition
 Except for GOSS’ or SPPM’s own equipment portfolio and existing agreements that GOSS has in place with other suppliers (none related to sheetfed printing equipment),GOSS shall not manufacture,represent,distribute,promote or have otherwise an interest in any other goods,services or products competing with the Products unless AKIYAMA's offerings are not competitive or appropriate for the market; all exceptions require written approval by AKIYAMA which shall not be unreasonably withheld.
ARTICLE 20:Confidentiality
 GOSS and AKIYAMA shall,during the term of this Agreement and for five (5) years thereafter,keep strictly confidential all information,documentation,software and any and all aspects of this Agreement.GOSS and AKIYAMA shall treat said information in a manner appropriate to protect the confidential and proprietary nature thereof and will not use any such information in any way or manner or disclose the same to any person without the other's prior written consent.
 Any disclosure of said information to potential Customers or in connection with offers shall be subject to the other's prior written approval.
 The above obligation shall not apply to information which is or will be in the public domain without default of GOSS or AKIYAMA,is already in the possession of the receiving party or is independently developed by the receiving party.
ARTICLE 21:Duration and Termination
 This Agreement shall commence on the signature date and shall continue until December 31,2011,unless sooner terminated in accordance with the terms herein contained.Thereafter,it shall automatically renew for successive one (1) year periods unless either party gives written notice of non-renewal not less than six (6) months prior to the expiration or renewal date.
 If either party fails to ful¬fil any of its obliga¬tions under this Agreement,the party aggrieved by such default may give to the ot¬her written notice of such default,and if within sixty (60) days after such notice is given,the defaulting party has failed or refuses to remedy such default,this Agreement may be terminated by the aggrie¬ved party upon thirty (30) days' written notice to the defaulting party.
 In case either party files for bankruptcy or its ownership control changes to a third party,this Agreement shall,at the option of the other party,terminate immediately and without any consequences (financially or otherwise) to the other party.
