In the event the Buyer due to reasons within its responsibility fails to arrange the shipment of the Goods on time as stipulated in Article 4.5 of this Contract,unless the Parties agreed on a grace period,the Buyer shall pay a penalty to the Seller at the rate of 0.05% of Total Purchase Price per each day of the delay.
