Article seventh the duty of confidentiality ( a ) both sides should not use,disclose or to any person ( a reference or the authorized need to understand people except) communication personnel in the performance of this agreement during the acquisition of the business secret or the information ( hereinafter referred to as " confidential information" ),and all reasonable efforts to ensure that personnel are not the occurrence of the above behavior.( two) the above confidential information includes did not enter the public domain,both sides of any subsidiary or from third party access to the confidential information.The following situations except:1 according to the competent government or legal departments,judicial decisions,the rules of the stock exchanges and other requirements for disclosure; 2 with this agreement or ancillary documents related to claim,suit,defense to law,arbitration institutions or government departments in the disclosed; 3 is not due to both or personnel responsibility to enter into the public domain information; 4 by no obligation of confidentiality to the disclosure of the third kind.( three) of the second paragraph of Article 1,2 cases occurred,is required to be disclosed shall timely notify the other party.( four) personnel in both requirements or upon termination of this agreement,guarantees will all contain confidential information materials returned to the corresponding unit or related party.( five) after the termination of this Agreement for any reason,confidential agreement still applies,and is not limited by time.Eighth legal jurisdiction this Agreement shall apply to the people's Republic of China Law and interpretation.This agreement the Chinese text and English text,the Chinese text of priority.Article ninth arbitration sides because of this agreement disputes,shall be submitted to China International Economic and Trade Arbitration Commission according to its arbitration rules effective then in Beijing settled by arbitration,the arbitration result final binding upon both parties.
