that是用来引导从句的,这里的his not passing不是从句,只是一个短语,因为这里没有谓语动词,passing是动名词,而不再是真正意义的动词.
第二个问题：his是逻辑主语
英语中为了避免出现多个动词在一个句子当中,会把除谓语动词之外的动词变成非谓语动词的形式,比如说不定式,动名词都是非谓语动词,但是由于非谓语动词仍然有可能有自己动作发出的主语,所以就会用逻辑主语（经常用物主代词的形式,my,your,his,her等）.这里的his就是逻辑主语,因为pass这个动作是由he发出来的,而不是we发出来的.

be surprised at 后面要加名词或名词短语，而一般在后面试句子时，我们都把句子变成ing的短语形式，现在后面的句子应该是he didn't passing the exam 变成短语时我们要把he 改成his 变成his passing...

suiprised at 是个介词短语，后加名词、代词短语，但不能跟句子。此句中的his not passing the exam就是一个ing形式的短语。
若要加that，则句子要改为：We were surprised that he didn't pass the exam.
