第一段：Supplier hereby grants and Distributor accepts the right to market and sell the Branded Products in the Territory on the terms and conditions mentioned below with explicit exclusion of the internet sales.The right to market the Branded Products is non–exclusive for the first year as of the date of signature of this Agreement and should become exclusive whether the Distributor reaches at least 100% of the sale target set for the first year according to Annex 7.2
第二段：The Distributor and the Supplier mutually acknowledge formally that the present agreement is bounded to the line of Branded Products committed to the Distributor in Annex 1.For example,if the Supplier distributes new different line of products,these are not automatically included in the Distributor competence,provided in this agreement,unless the Supplier authorizes the Distributor in writing by an express integration to the present agreement with a private deed.
第三句：the sale of such Branded Products within the Territory with the required reasonable diligence as to protect and guarantee the interests of the Supplier.
