Because of the sensitive nature of the Confidential Information,in the event of a breach of the confidentiality terms hereof,the DISTRIBUTOR may be terminated by XX immediately.In addition,the DISTRIBUTOR shall not be entitled to any compensation,damages,or payment for good will that has been established,severance pay,indemnity or any other amount for any other cause,by reason of the termination of the relationship between XX and DISTRIBUTOR,or by reason of the termination of this Agreement or any rights hereunder,despite any applicable law within or without the Territory to the contrary.DISTRIBUTOR hereby expressly and irrevocably waives and renounces any such claims and rights which DISTRIBUTOR may at any time otherwise be entitled to assert under the laws of the Territory or elsewhere.
In the event that the business association is terminated for any reason,DISTRIBUTOR shall promptly return to XX all writings,documents and materials containing Confidential Information,whether or not prepared by XX,without retaining any copies thereof or DISTRIBUTOR shall certify that it has destroyed the Confidential Information and all copies thereof.
