11.2x05Without prejudice to clause 11.1 if unforeseeable circumstances,such as terrorist attacks,natural catastrophes or severe economical crises occur on a local,regional or worldwide level and lead to a substantial decrease of the Hotel's performance,the Parties will liaise and discuss in good faith to take suitable measures in order to increase the Hotel's performance.
12.1x05The Parties shall initially attempt to settle all disputes pertaining to this Agreement amicably through good faith negotiations.
12.2x05Except as otherwise expressly provided for,if mutual agreement or resolution of any dispute cannot be reached within a period of thirty (30) days after the date written notice is delivered by one Party to the other claiming the existence of a dispute hereunder,then any such dispute arising out of or in connection with this Agreement,including without limitation any question regarding its existence,validity or termination,or damages related to a breach or termination hereof,shall be referred to and finally resolved by final and binding arbitration in accordance with the Rules of Arbitration of the China International Trade and Arbitration Commission (“CIETAC”) in force on the date of such referral,which rules are deemed to be incorporated by reference into this Clause.
